These Terms of Service are an agreement between you and JJK PROPERTY GROUP LLC, the operator of Bingely (referred to in these Terms as "Bingely", "we", "us", or "our"). They govern your use of the Bingely app and the services, communities, rewards, and content we make available through it. Please read them carefully — they include important limits on our liability and rules about BingelyCash, purchases, and payouts. By creating an account or using Bingely you agree to these Terms, our Privacy Notice, and our Community Rules.
1. Your Access to Bingely
You must be at least 13 years old to use Bingely. If you are between 13 and 17, you may only use Bingely with the permission of a parent or legal guardian who agrees to these Terms on your behalf. You must be at least 18 years old (or the age of majority where you live, if higher) to buy BingelyCash, to request a cash-out, to sponsor a show, or to create a community.
Sign-up is open to anyone who meets those requirements. Creating an account does require enrolling your device's biometric unlock — Face ID or Touch ID — on a physical iPhone, which binds your Bingely account to that one device. Your face or fingerprint data never leaves your device's Secure Enclave; Bingely learns only that enrollment succeeded, which type of biometry you used, and a device identifier and public key. Because of that binding you may keep only one account per device, and you may need to re-enroll after moving to a new device. Do not enroll a device you do not exclusively control.
You may not use Bingely if you have previously been banned, if you are prohibited from receiving our services under applicable law, or if you are located in a country subject to a U.S. Government embargo or listed on any U.S. Government list of prohibited or restricted parties.
2. Privacy
Our Privacy Notice explains how we collect, use, and share information about you when you use Bingely, including what happens when Bingely listens through your microphone to verify a watch session. By using Bingely you consent to the collection and use of information as described there. You can read the Privacy Notice at any time from the Account tab.
3. Your Use of Bingely
Subject to these Terms, Bingely grants you a personal, non-transferable, non-exclusive, revocable, limited license to install and use the Bingely app on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service, for your own personal, non-commercial use.
We reserve all rights not expressly granted to you. Except as permitted by law or by Bingely in writing, you may not license, sell, transfer, assign, distribute, host, or otherwise commercially exploit Bingely; modify, prepare derivative works of, disassemble, decompile, or reverse engineer any part of Bingely; or access Bingely in order to build a similar or competitive product.
Bingely changes constantly. We may add, change, suspend, or remove features, shows, communities, rewards, and earning rates at any time, with or without notice. We may also limit access to parts of Bingely, or to Bingely as a whole, for any reason.
Watch verification. When you start a watch session, Bingely uses your microphone to confirm that the episode is actually playing near you. Speech is transcribed and dialogue timing is measured entirely on your device; audio is never recorded to storage or sent to Bingely. Only derived results — which of the episode's keywords were detected and when, a compressed timing map of when dialogue occurred, acoustic signals used to detect spoofing, and the bubbles you tapped — are sent to our servers to score the session. If you choose to dictate a bubble during a session, verification pauses while you speak and your words are converted to text on your device using Apple's on-device speech recognition; that audio is likewise never sent to Bingely. You can revoke microphone access in iOS Settings at any time, but you will not be able to earn from watch sessions without it. Bingely does not stream, host, or provide the shows themselves; you need your own legitimate access to the show through a streaming service, broadcaster, or other lawful source.
4. Your Bingely Account and Account Security
To use most of Bingely you must create an account with an email address, a password, and a username. You are responsible for the information you give us and must keep it accurate. You may not create an account for anyone else, create more than one account, share your account, or impersonate any person or entity.
You are responsible for keeping your login details secure and for everything that happens under your account. Do not reuse passwords from other services. Tell us right away at the support address in Section 23 if you believe your account has been compromised. Bingely will never ask for your password.
Cash-outs are protected by an additional layer: your device's Face ID or Touch ID and a cryptographic key stored in your device's Secure Enclave. Because payouts are bound to your device, you may need to re-enroll after moving to a new device. Do not enroll a device you do not exclusively control.
You can delete your account at any time from the Account tab. Deleting your account permanently removes your profile, balances, and the content associated with your account as described in the Privacy Notice, except for records we are required to keep by law (for example, payout and purchase records). Shows or communities you set up may remain available to their audiences without an owner.
5. Your Content
Bingely lets you post, comment, create bubbles, upload photos and other media, name communities, and provide show-setup information such as keywords and dialogue-timing reference maps. We call all of this "Your Content." You retain any ownership rights you have in Your Content, but you grant Bingely the following license.
When Your Content is created with or submitted to Bingely, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, prepare derivative works of, distribute, store, perform, and display Your Content and any name, username, or likeness provided in connection with it, in all media formats and channels now known or later developed, anywhere in the world. This license includes the right for us to make Your Content available for syndication, broadcast, distribution, or publication by other companies, organizations, or individuals who partner with Bingely. You also agree that we may remove metadata associated with Your Content, and you irrevocably waive any claims and assertions of moral rights or attribution with respect to Your Content.
Any ideas, suggestions, and feedback about Bingely that you provide to us are entirely voluntary, and you agree that Bingely may use them without any compensation or obligation to you.
You represent and warrant that you have all rights, power, and authority necessary to grant the rights to Your Content contained in these Terms. Because you alone are responsible for Your Content, you may expose yourself to liability if you post or share content without all necessary rights. Bingely does not endorse Your Content and takes no responsibility for it.
Although we have no obligation to screen, edit, or monitor Your Content, we may, in our sole discretion, delete or remove Your Content at any time and for any reason, including for violating these Terms or the Community Rules, or if you otherwise create or are likely to create liability for us.
6. Third-Party Content, Shows, and Services
Bingely shows information about television shows and films, including titles, artwork, and descriptions supplied by The Movie Database (TMDB). Bingely is not affiliated with, endorsed by, or sponsored by any studio, network, streaming service, or rights holder unless we expressly say so. Trademarks and artwork belong to their respective owners. Bingely does not provide access to any show; you must obtain the show lawfully from its provider, and your use of that provider's service is governed by its own terms.
Bingely may contain links to third-party websites, products, or services, which may be posted by other users. Bingely is not responsible for the content or practices of any third party and does not endorse them. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
Purchases made through the App Store are processed by Apple under the App Store Terms of Service. See Section 13 for the terms that apply to you and Apple.
7. Things You Cannot Do
When using Bingely, you must comply with these Terms, the Community Rules, and all applicable laws. You may not, and may not help anyone else to:
• Use Bingely in any manner that could interfere with, disable, disrupt, overburden, or otherwise impair Bingely, or that violates any law or regulation. • Gain unauthorized access to Bingely, other users' accounts, or Bingely's systems or networks, or attempt to probe, scan, or test the vulnerability of our systems without permission. • Upload, transmit, or distribute any viruses, worms, malicious code, or other software intended to interfere with Bingely or another user's device. • Use any automated means, including bots, scripts, or scrapers, to access Bingely, collect information from it, or earn BingelyCash, except as expressly permitted by us. • Manipulate watch verification in any way, including by playing recordings or transcripts of a show to the microphone, using audio samples or synthesized dialogue, reading dialogue aloud, tampering with the app or the device clock, replaying or fabricating watch events, or watching for verification purposes on more than one device or account at a time. • Create multiple accounts, use another person's account, share accounts, or buy, sell, trade, or transfer accounts, BingelyCash, tickets, or any other Bingely balance or benefit outside the app. • Use Bingely to violate applicable law, or to infringe any person's intellectual property, privacy, publicity, or other rights. • Post content or engage in conduct prohibited by the Community Rules, including harassment, hate, sexual content involving minors, non-consensual intimate media, threats, doxxing, spam, and impersonation. • Solicit, collect, or post other users' personal information without their consent. • Use Bingely to advertise, promote, or sell products or services except as we expressly allow (for example, through sponsorship features). • Circumvent any content-moderation, blocking, rate-limiting, or access-control measure.
We may investigate and take any action we consider appropriate in response to violations, including removing content, cancelling pending or finalized BingelyCash obtained in violation of these Terms, suspending or terminating accounts, refusing cash-outs, and reporting to law enforcement.
8. BingelyCash, Tickets, Boosts, and Sponsorships
BingelyCash is Bingely's in-app rewards balance. It is a limited, personal, revocable, non-transferable license to use features within Bingely. Except for the cash-out feature described in Section 9, BingelyCash has no monetary value, is not money, e-money, a deposit, a security, or a stored-value account, does not earn interest, and cannot be exchanged for cash or anything of value outside Bingely. Bingely is not a bank or money transmitter. We may change how BingelyCash is earned, valued, or spent at any time.
Pending and finalized balances. BingelyCash earned from a watch session is first credited as pending while we verify the session. Pending BingelyCash may be reduced or cancelled if a session fails verification, if we detect abuse, or if the show's owner changes its earning rules. Once verified, BingelyCash becomes finalized. Only finalized BingelyCash can be spent on sponsorships or cashed out, and only earned finalized BingelyCash is eligible for cash-out. Earning is limited: for example, you can be credited for a given show only once, watch sessions have minimum coverage requirements, and shows may set their own limits.
Purchases. You can buy BingelyCash through the App Store as a consumable in-app purchase. All purchases are processed by Apple and are subject to Apple's terms, including its refund policy; Bingely cannot issue refunds for App Store purchases. Purchased BingelyCash is delivered to your account once Apple confirms the transaction. Purchased BingelyCash can be spent in the app — on tickets to unlock shows, on boosting bubbles, on generating bubble images, on sponsoring shows, and on communities — but it is not eligible for cash-out. Prices are shown in the App Store before you buy and may change.
Tickets. Some shows require a ticket, paid in BingelyCash, before you can earn from them. Tickets are consumed when redeemed, are not refundable, and grant access only to the show and features described at the time of purchase.
Boosts. You can attach BingelyCash to a bubble you create as a boost, which funds bonus rewards to viewers who engage with it, up to the cap shown in the app. Boosts are spent when the bubble is posted and are not refundable, including if the bubble is removed for violating these Terms or the Community Rules.
Generated images. You can spend BingelyCash to have an image for your bubble generated by an AI model from a description you write; the price per image is shown in the app before you confirm. Your description is sent to our image-generation provider to produce the image. The charge is applied when generation starts and is refunded automatically for any image that cannot be produced; it is not refunded once an image has been produced, whether or not you use it, and not if the image or the bubble is later removed for violating these Terms or the Community Rules. You are responsible for the descriptions you write and for the images you choose to post, which are your content under Section 5.
Sponsorships and communities. Show owners and community creators can spend finalized BingelyCash to fund rewards for their audiences. Sponsorship amounts are committed when submitted and are not refundable. Bingely may hold, delay, or claw back sponsorship funds and payouts that are connected to fraud, abuse, or violations of these Terms.
Forfeiture. If your account is terminated for violating these Terms, or if you delete your account, all BingelyCash, tickets, boosts, and sponsorship balances are forfeited without compensation, except where prohibited by law.
9. Cash-Out and Payouts
If you have enough earned, finalized BingelyCash, you can request a cash-out from the Account tab. The current exchange rate, minimum amount, increments, and any limits are shown in the app before you confirm; unless we say otherwise, 100 BingelyCash equals one U.S. dollar and the minimum cash-out is 5,000 BingelyCash (50 U.S. dollars).
To be eligible you must be at least 18 years old, have an account in good standing, complete any identity, tax, or address verification we request, and confirm the request with Face ID or Touch ID on a device you have enrolled for payouts. Bingely may also verify the integrity of your device and app using Apple's App Attest service. Requests that fail these checks may be declined.
Payouts are fulfilled by Bingely's operations team after review, using the payment method and details we collect from you at or after the time of the request. Review normally takes a few business days but may take longer, and we may request additional information before paying. We may decline, hold, reverse, or reduce a payout, and may cancel the corresponding BingelyCash, if we reasonably believe the balance was earned or the request was made in violation of these Terms, if required by law, or if the request cannot be fulfilled to the details you provided.
You are responsible for any taxes on amounts paid to you. We may ask for tax documentation (such as an IRS Form W-9 or W-8) before paying and may report payouts to tax authorities where required. We may also apply currency conversion, payment-processor fees, or withholding where applicable, and the amount you receive may differ from the amount requested as a result. Payouts are available only in the jurisdictions we support, which may change.
Cash-out is a promotional reward program offered at Bingely's discretion. It is not a wage, a prize competition, an investment, or a financial product, and we may modify, suspend, or end it at any time. If we end it, we will give you a reasonable opportunity to cash out any eligible balance unless prohibited by law or the balance was earned in violation of these Terms.
10. Show Owners, Sponsors, and Community Creators
Bingely lets eligible users set up shows for verification, sponsor rewards, and create and manage communities. If you take on any of these roles you agree to additional responsibilities.
Show owners must set up shows only for content they lawfully have access to, must provide accurate keywords and reference dialogue-timing maps created from the actual episode, and must not manipulate verification to favor particular viewers. Reference maps you provide are Your Content and are licensed to us under Section 5.
Community creators are responsible for the communities they create, including their names and descriptions, and must not use them to promote violations of these Terms or the Community Rules. Bingely may rename, transfer, or remove communities and may remove any show, keyword set, or reference map, at any time and for any reason.
Bingely reserves the right to revoke show ownership or community creation privileges, and to reallocate or cancel sponsored rewards, in its sole discretion.
11. Moderation, Reporting, and Enforcement
Bingely has zero tolerance for objectionable content and abusive users. Every post and comment can be reported from its "..." menu in the app, and you can block any user so that their posts and comments are hidden from you. Bubbles, communities, and accounts can be reported by writing to the address in Section 23. Reports are reviewed by people, and we act on confirmed violations within 24 hours of a report by removing the content and, where appropriate, ejecting the user who provided it.
Bingely may, but is not obligated to, review content before or after it is posted, and may use automated systems to detect spam, fraud, and prohibited content. We may remove content, restrict features, cancel rewards, suspend or terminate accounts, and cooperate with law enforcement at our sole discretion, with or without notice. You may appeal an enforcement action by contacting us at the support address in Section 23.
12. Copyright, Trademark, and DMCA
Bingely respects the intellectual property of others and requires that users do the same. We have a policy that includes the removal of any infringing material from Bingely and the termination, in appropriate circumstances, of users who are repeat infringers.
If you believe that anything on Bingely infringes a copyright or trademark that you own or control, you may notify us at the support address in Section 23 with a notice that includes: (a) a physical or electronic signature of a person authorized to act on behalf of the owner; (b) identification of the work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it, such as the community, post, or bubble; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized by the owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.
Also note that if you knowingly misrepresent that any activity or material on Bingely is infringing, you may be liable for damages. If your content is removed in response to a notice and you believe the removal was a mistake, you may send us a counter-notice with the information required by 17 U.S.C. § 512(g)(3).
13. Apple App Store Terms
Bingely is distributed through the Apple App Store, and these additional terms apply between you and Bingely with respect to Apple, Inc. ("Apple").
Acknowledgement. These Terms are between you and Bingely only, and not with Apple. Bingely, not Apple, is solely responsible for the app and its content. Apple has no obligation to furnish any maintenance or support services for the app.
Scope of license. The license granted in Section 3 is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where available.
Warranty. Bingely is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Bingely's sole responsibility.
Product claims. Bingely, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession or use of it, including (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual property. In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Bingely, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-party terms. You must comply with applicable third-party terms of agreement when using the app, such as your wireless data service agreement and the terms of the streaming service you use to watch a show.
Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Developer contact. Questions, complaints, or claims regarding the app should be directed to Bingely at the support address in Section 23.
14. Bingely's Intellectual Property
Bingely, including its app, software, design, text, graphics, logos, the Bingely and BingelyCash names, and all other materials we provide (other than Your Content and third-party content), are owned by Bingely or its licensors and are protected by copyright, trademark, and other laws. You may not use our name, logos, or trademarks without our prior written permission, and you may not remove or alter any proprietary notices. The whisper.cpp speech-recognition library used on your device is licensed under the MIT license; its notice is reproduced in the app package.
15. Indemnity
Except to the extent prohibited by law, you agree to defend, indemnify, and hold Bingely, its affiliates, and their respective directors, officers, employees, agents, and licensors harmless from and against any claim, demand, liability, damage, loss, cost, and expense (including reasonable attorneys' fees) arising out of or related to (a) your use of Bingely; (b) Your Content; (c) your violation of these Terms, the Community Rules, or any law; (d) your violation of the rights of any third party; or (e) any dispute between you and another user or a third party, including a streaming service or rights holder.
16. Disclaimers
BINGELY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. BINGELY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT WATCH VERIFICATION WILL SUCCEED FOR ANY PARTICULAR SESSION, SHOW, DEVICE, OR ENVIRONMENT; THAT ANY AMOUNT OF BINGELYCASH WILL BE AVAILABLE TO EARN OR CASH OUT; OR THAT ANY CONTENT OR SHOW INFORMATION IS ACCURATE, COMPLETE, OR CURRENT. BINGELY TAKES NO RESPONSIBILITY FOR AND DOES NOT ENDORSE ANY CONTENT POSTED BY USERS OR ANY THIRD-PARTY SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BINGELY, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REWARDS, OR LOSS OF DATA, ARISING FROM OR RELATING TO THESE TERMS OR BINGELY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO AND USE OF BINGELY IS AT YOUR OWN DISCRETION AND RISK.
IN NO EVENT WILL THE AGGREGATE LIABILITY OF BINGELY AND ITS AFFILIATES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (100 USD) OR THE AMOUNT YOU PAID TO BINGELY IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
18. Governing Law and Venue
Bingely wants you to enjoy the app, so if you have an issue or dispute, you agree to raise it and try to resolve it with us informally by contacting us at the support address in Section 23 before filing a claim.
Except to the extent prohibited by the law of your country of residence, these Terms and any dispute arising out of or related to them or Bingely will be governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any claim that cannot be resolved informally must be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court, or you from bringing a claim in small-claims court, and nothing limits any non-waivable consumer rights you may have under the law of your country of residence.
19. Changes to These Terms
We may change these Terms from time to time. If we do, we will update the "last updated" date above and, for material changes, notify you in the app or by email before the change takes effect. By continuing to use Bingely after a change becomes effective, you agree to the revised Terms. If you do not agree, you must stop using Bingely and may delete your account.
20. Additional Terms
Because Bingely offers a variety of features, you may be asked to agree to additional terms before using a specific feature — for example, when you set up a show, sponsor rewards, or enroll a device for payouts. To the extent those additional terms conflict with these Terms, the additional terms govern with respect to that feature. The Community Rules and the Privacy Notice are incorporated into these Terms by reference.
21. Termination
You may terminate these Terms at any time by deleting your account from the Account tab and discontinuing your use of Bingely. We may suspend or terminate your account, status, or ability to access or use Bingely at any time, for any or no reason, including for violating these Terms or the Community Rules. Upon termination, your license to use Bingely ends and any BingelyCash, tickets, boosts, and sponsorship balances are forfeited as described in Section 8. Sections 5, 8 (as to forfeiture), 9 (as to withheld payouts), and 12 through 22 survive termination.
22. Miscellaneous
These Terms, together with the Privacy Notice, the Community Rules, and any additional terms you agree to, constitute the entire agreement between you and Bingely regarding your use of Bingely. Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver. If any provision is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms or your account without our prior written consent; we may assign our rights and obligations under these Terms without restriction. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Bingely, and rewards are not compensation for services.
